1. Introduction and Acceptance of Terms

Welcome to Vowise, an AI-powered voice transcription service. By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any of these terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Vowise ("Company", "we", "us", or "our") governing your access to and use of the Vowise website, applications, and services (collectively, the "Service").

2. Definitions

  • "User": Any individual or entity that accesses or uses the Service
  • "Content": Any audio files, transcriptions, text, or other materials uploaded to or generated by the Service
  • "Voice Data": Audio recordings of your voice and derived characteristics
  • "Subscription": A paid plan that provides access to premium features
  • "Credits": Units used to access transcription services

3. Eligibility

To use the Service, you must:

  • Be at least 16 years old (or 13 in the United States with parental consent)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by providing:

  • A valid email address
  • A secure password
  • Any additional information required during registration

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that we suspect have been compromised.

5. Service Description

Vowise provides AI-powered voice transcription services, including:

  • Audio Transcription: Converting speech to text using AI
  • Multi-language Support: Transcription in multiple languages
  • Speaker Identification: Distinguishing between different speakers
  • Export Options: Downloading transcriptions in various formats

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

6. Acceptable Use Policy

6.1 Permitted Uses

You may use the Service for:

  • Personal transcription of your own voice recordings
  • Business transcription with proper authorization
  • Educational and research purposes
  • Any lawful purpose consistent with these Terms

6.2 Prohibited Uses

You agree NOT to:

  • Upload audio containing voices of others without their consent
  • Create "deep fakes" or deceptive synthetic audio
  • Use the Service for illegal activities
  • Attempt to reverse engineer or exploit the Service
  • Circumvent security measures or access restrictions
  • Upload malicious content or malware
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Harass, abuse, or harm others using the Service
  • Use automated systems to access the Service without permission

6.3 Voice Data Consent

You represent and warrant that you have obtained all necessary consents from any individuals whose voices appear in audio you upload. You are solely responsible for ensuring compliance with applicable biometric data laws (e.g., BIPA, GDPR).

7. Content Ownership and Licenses

7.1 Your Content

You retain ownership of all audio files and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process your content solely to provide the Service to you.

7.2 Our Content

All intellectual property in the Service, including software, algorithms, designs, trademarks, and documentation, is owned by Vowise or its licensors. You may not copy, modify, distribute, or create derivative works without our written permission.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.

8. Pricing and Payments

8.1 Subscription Plans

We offer various subscription plans with different features and credit allocations. Current pricing is available at vowise.com/pricing.

8.2 Payment Terms

  • All fees are charged in advance on a monthly or annual basis
  • Payments are processed through Stripe
  • You authorize us to charge your payment method on file
  • Failed payments may result in service suspension

8.3 Refunds

Subscription fees are generally non-refundable. However, you may request a refund within 14 days of your initial purchase if you have not used more than 10% of your allocated credits. Contact support_no_spam_@vowise.com for refund requests.

8.4 Price Changes

We may change prices with at least 30 days' notice. Price changes will not affect your current billing period.

9. Termination

9.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support_no_spam_@vowise.com. Upon termination:

  • Your subscription will not renew
  • Unused credits will expire
  • Your data will be deleted according to our Privacy Policy

9.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees
  • Create risk or legal exposure for us

9.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may retain certain data as required by law or for legitimate business purposes.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability or fitness for a particular purpose
  • Accuracy or reliability of transcriptions
  • Uninterrupted or error-free operation
  • Security of your data beyond our stated measures

AI transcription may contain errors. You are responsible for reviewing and verifying transcriptions before relying on them for any purpose.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOWISE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages arising from unauthorized access to your account
  • Damages exceeding the fees paid by you in the 12 months prior to the claim

Some jurisdictions do not allow certain limitations, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Vowise, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload to the Service

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Germany, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms will be resolved through:

  1. Negotiation: Good faith attempts to resolve the dispute informally
  2. Mediation: If negotiation fails, non-binding mediation
  3. Arbitration: Binding arbitration under the rules of the German Institution of Arbitration (DIS)

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Vowise.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
